Terms of Service

• Workspace: a Customer's space in Fora, and everything in it.
• Users: the people a Customer lets into its Workspace. That includes owners, admins, managers, members and guests.
• Customer Content: everything Users put into the Services. That covers messages, posts, documents, tasks, files, meeting transcripts and prompts to Fora AI, and the output Fora AI generates for them.
• Plan: the subscription level a Workspace is on: Free, a paid plan, a trial, or one agreed in an order form.

• Age. You must be at least 16 to use the Services, and old enough to form a binding contract where you live to accept these Terms.
• Your account. Give accurate information, keep your password to yourself, and tell us promptly at hello@foraos.io if you think someone else has used your account. You're responsible for what happens under your account.
• The Customer controls the Workspace. Its owner and admins decide:
  • who joins, and in what role;
  • whether guests are allowed;
  • what can be shared outside the Workspace;
  • how long activity records are kept.
  They can see and export the Workspace's content, and they can remove Users. When you join a Workspace, your use of it is governed by these Terms and by the Customer's own policies.
• The Customer answers for its Users. It is responsible for its Users' compliance with these Terms.
• Guests see only what they're invited into. A Customer that invites a guest is responsible for what it chooses to share with them.

• It's yours. As between you and us, the Customer owns Customer Content. We claim no ownership of it.
• The permission we need. The Customer grants us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display and adapt Customer Content. It covers only what we need to provide, secure and support the Services, and it ends when the content is deleted, except for residual copies in backups until they expire. We don't use Customer Content for advertising, and we don't use it to train AI models.
• Your responsibility. The Customer is responsible for Customer Content, and confirms it has all the rights and consents needed to put it into the Services and have us process it as these Terms describe. That includes any personal data about other people.
• Personal data. For personal data in Customer Content we act as the Customer's processor, as our Privacy Policy describes. If the Customer needs a data processing agreement, including the EU Standard Contractual Clauses, write to hello@foraos.io and we'll sign one with it.
• Feedback. If you send us ideas or suggestions, we may use them freely, with no obligation to you.

Fora can transcribe meetings. The host turns transcription on, and a User can also transcribe a call held on another service by sharing its audio with Fora. Laws on recording and transcribing conversations differ from place to place. Some, including those of Florida, California and several other US states and countries, require the consent of everyone on a call.

The Customer, and the User who turns transcription on, are responsible for:

• telling every participant that the call is being transcribed;
• getting each participant's consent wherever the law requires it;
• following any other law that applies to recording or processing the conversation.

This applies in particular to people outside the Workspace who haven't agreed to these Terms. Don't transcribe a call where you can't meet these obligations.

• What it can see. Fora AI works on Customer Content with the permissions of the User asking. It uses a third-party model provider, named in our Privacy Policy.
• Output belongs to the Customer. As between you and us, AI output is Customer Content, and the Customer owns it to the extent the law allows.
• Output can be wrong. AI output can be incomplete or inaccurate, and similar output may be given to others. Review it before you rely on it, and don't use it as the only basis for decisions with legal, financial, medical or similarly significant effects on a person.
• Its limits. Don't use Fora AI to break the acceptable use rules below, or to try to extract our models' or providers' underlying systems.

You may not use the Services, or help anyone else use them, to:

• break any law, or infringe or misappropriate anyone's rights;
• harass, threaten, defame, or promote violence against any person or group;
• share sexual content involving minors, or content that exploits or endangers children;
• upload malware, or probe, scan, overload or breach the Services or any network. The exception is a vulnerability you report to us in good faith;
• get around plan limits, access controls or security measures, or reach data you aren't authorized to see;
• send spam or unsolicited bulk messages;
• impersonate anyone, or misrepresent your affiliation with anyone;
• collect other people's personal data without a lawful basis, or process special categories of data without the safeguards the law requires;
• scrape the Services, reverse-engineer them (except where the law allows it), or use them to build a competing product;
• resell or sublicense the Services, unless we've agreed to that in writing.

We may remove content or restrict access to stop a violation. Where we reasonably can, we'll tell the Customer first.

• Free. A Workspace can use the Free plan for up to ten members, within the limits shown in the app and on our pricing page. We may change Free-plan features or limits with reasonable notice.
• Trial. A new Workspace may start on a free trial of a paid Plan. When the trial ends, it moves to the Free plan unless the Customer subscribes. No card is needed for a trial.
• Paid Plans. Paid Plans are billed per member (“seat”), monthly or annually, in advance, through our payment processor, Stripe.
  • The price and currency shown at checkout, or in an order form, are the ones that apply.
  • When members are added or removed mid-term, the charge is adjusted pro rata.
• Renewal. Subscriptions renew automatically for the same term until cancelled. A workspace admin can cancel at any time from the billing settings in the app, or by writing to us. Cancellation takes effect at the end of the current billing period, and the Workspace then moves to the Free plan. If the Workspace is over the Free plan's limits, some features stay limited until it fits them or subscribes again.
• Price changes. We'll give at least 30 days' notice of a price increase. It applies from the next renewal after the notice period.
• Taxes. Fees don't include taxes. The Customer pays any applicable sales, use, value-added or similar tax, except tax on our income.
• Late payment. If a payment fails, the Workspace becomes past due and keeps working while payment is retried. If it's still unpaid after 14 days, we may suspend access until it's paid. Content isn't deleted during suspension, except as described in Ending the agreement.
• Refunds. Fees are non-refundable, except where these Terms say otherwise or the law requires a refund.

The Services let you use other people's services too: embedded videos, link previews of third-party websites, calls on other platforms you transcribe, and app stores. Your use of those services is governed by their own terms. We aren't responsible for them.

• What we keep. We and our licensors own the Services and everything in them apart from Customer Content, including the software, design and the Fora name and marks.
• What you get. Subject to these Terms, we grant the Customer and its Users a limited, non-exclusive, non-transferable right to use the Services while the agreement lasts.
• Publicity. We won't use a Customer's name or logo in our marketing without its permission.

• Changes. We improve the Services continually and may change or remove features. If we remove a material feature of a paid Plan, we'll give reasonable notice. If that leaves the Customer materially worse off, it may cancel and receive a pro rata refund of prepaid fees for the rest of the term.
• Beta features. Some features may be labelled beta or preview. They are provided as they are, may change or end, and aren't covered by any commitment in these Terms.
• Support. We provide support by email at hello@foraos.io. Service levels are available only where agreed in an order form.

Each of us may receive the other's non-public information. For us, that includes Customer Content. Each of us will use it only to perform this agreement, protect it with at least reasonable care, and share it only with people who need it for this agreement and are bound to keep it confidential. This doesn't cover information that:

• is public;
• was known to the recipient before, without restriction;
• was independently developed;
• was lawfully received from someone else.

If the law compels a disclosure, the recipient will give advance notice where it's allowed to.

We may suspend a User's or a Workspace's access if:

• it's needed to stop a serious security risk, or harm to the Services or others;
• the acceptable use rules are broken;
• payment is overdue, as described above;
• the law requires it.

We'll limit a suspension to what's reasonably needed, tell the Customer (in advance where practical), and restore access once the issue is resolved.

• By the Customer. It may stop using the Services at any time. Cancelling a paid Plan ends it at the end of the current billing period. The Workspace's owner can delete the Workspace in the app.
• By you as a User. You may delete your own account at any time in Settings.
• By us. We may end this agreement:
  • if the Customer materially breaches it and doesn't fix the breach within 30 days of our notice;
  • immediately, for a serious violation of the acceptable use rules or where the law requires it;
  • for a Free Workspace, on 30 days' notice, for any reason.
• Your data on the way out. While a Workspace is active, its owner can export its content at any time. For 30 days after the agreement ends or a Workspace is suspended, the owner can ask us for an export at hello@foraos.io, unless the law forbids it.
• Deletion after the agreement ends. We may delete the Workspace's content 90 days after termination or suspension. A Workspace its owner deletes follows the schedule in our Privacy Policy.
• What continues. The sections on fees owed, confidentiality, disclaimers, limitation of liability, indemnity and governing law continue after the agreement ends.

Except as expressly stated in these Terms, the Services are provided “as is” and “as available”. To the fullest extent the law permits, we disclaim all warranties, express or implied, including those of merchantability, fitness for a particular purpose, title and non-infringement. We also disclaim any warranty that the Services will be uninterrupted, error-free or secure, or that AI output will be accurate. Some jurisdictions don't allow these exclusions, so they apply only as far as the law permits.

To the fullest extent the law permits, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. This applies even if that party was advised of the possibility.

Our total liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the fees the Customer paid us for the Services in the 12 months before the event giving rise to the claim, and (b) US$100.

These limits don't apply to the Customer's obligation to pay fees, or to its indemnity obligations. They don't limit any liability that can't be limited by law.

The Customer will defend us against any third-party claim arising from Customer Content, from its Users' breach of the acceptable use rules, or from its failure to give notice of or obtain consent to transcription. It will also pay any resulting damages, costs and reasonable attorneys' fees awarded or agreed in settlement. We will promptly notify the Customer of the claim, let it control the defence, and reasonably cooperate at its expense. The Customer may not settle a claim in a way that admits fault on our behalf without our consent.

We respect intellectual property rights. If you believe content in the Services infringes your copyright, send a notice to hello@foraos.io or to our address below. It must include:

• your signature;
• the work you say is infringed;
• the material you say infringes it, and where it is;
• your contact details;
• a statement that you believe in good faith the use isn't authorized;
• a statement, under penalty of perjury, that your notice is accurate and that you're authorized to act for the owner.

We handle notices under the Digital Millennium Copyright Act. We may terminate the accounts of repeat infringers.

If you download our app from Apple's App Store, you and we agree to the following:

• These Terms are between you and us, not Apple, and we, not Apple, are responsible for the app and its content.
• Your license to use the app is limited to Apple-branded devices you own or control, as the App Store's usage rules allow.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails any applicable warranty, you may tell Apple, and Apple will refund the purchase price, if any. To the extent the law permits, Apple has no other warranty obligation.
• Apple isn't responsible for addressing claims relating to the app, including product liability, legal or regulatory compliance, consumer protection or privacy claims.
• Apple isn't responsible for any claim that the app infringes a third party's intellectual property.
• You confirm you aren't located in a country subject to a US government embargo, and aren't on any US government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you download our app from Google Play, Google's terms for Google Play also apply to your use of the store.

• Governing law. These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
• Talk to us first. Before filing a claim, each party will try in good faith, for 30 days, to resolve the dispute informally by written notice.
• Where disputes are heard. Any dispute that isn't resolved will be heard only in the state or federal courts located in Broward County, Florida, and both parties consent to their jurisdiction. Either party may seek urgent injunctive relief in any competent court.
• Jury trial. Each party waives any right to a jury trial, to the extent the law permits.
• Consumers. If you use the Services as a consumer, nothing here takes away rights you have under the mandatory laws of the place you live.

• Changes to these Terms. We may update these Terms. For a material change, we'll give account owners at least 30 days' notice by email or in the app, unless the change is required by law or addresses a new feature. Continuing to use the Services after a change takes effect means accepting it. If the Customer doesn't agree, it may cancel before the change takes effect.
• Order forms. If a Customer signs an order form or other written agreement with us, that document controls where it conflicts with these Terms.
• Notices. We'll send notices to the account owner's email address or show them in the app. Send notices to us at hello@foraos.io, with a copy to our address below.
• Assignment. Neither party may assign these Terms without the other's consent. Either may assign them, without consent, to a successor in a merger, acquisition or sale of substantially all of its relevant business or assets.
• Force majeure. Neither party is liable for delays caused by events beyond its reasonable control. This doesn't apply to payment obligations.
• Export and sanctions. Each party will comply with applicable export control and sanctions laws.
• Relationship. The parties are independent contractors.
• Waiver and severability. Not enforcing a provision isn't a waiver of it. If a provision is unenforceable, it will be limited to the minimum extent needed, and the rest stays in effect.
• Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between the parties about the Services.
